Функціональні обов'язки: Planning, organization and control:
In the field of the legal support of Corporate relations:
Making alterations in statutory documents of the joint stock company, including it’s state registration, and other internal corporate regulating documents such as Provisions on Shareholders Meetings, Supervisory Board, Audit Committee;
drawing up agendas for Shareholders, Supervisory Board and Audit Committee meetings;
drafting and legalization of Powers of Attorney in Ukraine on behalf of non–resident shareholders for participation in Shareholders meetings;
working-out resolution drafts for the agenda items of the Shareholders, Supervisory Board and Audit Committee meetings;
drafting minutes for Shareholders, Supervisory Board, Audit Committee meetings, including minutes of Registration Commission and Counting Commission;
drafting the dividend payout documents for non–resident shareholders.
In the field of security papers allotment and circulation:
operations with security papers accounts opened in Custodian Bank by non–resident deponent and in Depositary by security papers issuer in a way of drafting and submitting their Orders to the Custodian Bank and Depositary for maintenance of administrative, accounting and informational operations, in particular:
amendment to the profiles of security papers accounts;
allotment, purchase/sale operations of security papers;
reissuance of the global security papers certificate for the issuer;
obtaining the consolidated register records of the security papers holders, statements about security papers transactions on securities accounts (extracts, reports on the securities turnover).
drafting, legalization and submitting the required documents and information to Custodian bank and Depositor to execute the Orders of Depositor and Issuer.
In the field of litigation and executive legal proceedings:
attending the meetings and sessions held by the commercial, civil, administrative courts of the first, appellate and cassation instances;
drafting and submitting the service documents, including the points of claim, petitions, written and verbal explanations to the court and to the executive legal proceedings bodies.
In the field of the relations between financial company and state regulator of the financial market:
entering the financial company information into the Unified State Register of Financial Institutions;
re–issue of the certificate about entering the financial company data to the Unified State Register of Financial Institutions;
registration of the amendments of the insurance rules at the State Commission for Regulation of Financial Services Markets;
re–issue of the life insurance license;
participation at inspections of the State Commission for Regulation of Financial Services Markets and its results execution;
participation at hearings of the case carried by the State Commission for Regulation of Financial Services Markets based on the results of its inspections;
drafting and submitting the petitions, objections and explanations concerning the hearings of the cases on legislation violation held by State Commission for Regulation of Financial Market.
In the reinsurance field:
concluding and amending the reinsurance agreements with the non–resident reinsurer;
registration of the reinsurance agreements concluded with the non–resident reinsurer in the State Commission for Regulation of Financial Markets.
In the field of contractual economic relations:
participation at negotiations related to the conclusion, amendment and termination of the economic contracts;
drafting the official letters, minutes, additional agreements and letters of claims related to the conclusion, amendment, implementation and termination of the economic contracts.
In the field of state registration of legal entity:
entering amendments of legal entity registration data to the Unified State Register of Enterprises and Organizations of Ukraine;
making amendments of the taxpayer registration data to the registers of tax authorities, state pension fund and other social insurance agencies, including re-issue of the appropriate registration certificates;
applying for extracts and certificates to the Unified State Register of Enterprises and Organizations.
Other responsibilities:
monitoring the current legislation amendments which can result in the company business activity by screening the information placed in the legal information system Liga Zakon, the Verkhovna Rada web-site, State Commission for Regulation of Financial Services Markets web–site and other information sources;
company concerning the important changes in the Ukrainian legislation;
drafting the memorandums of law on the matters related to the business activity of the company;
drafting and submitting the letters of inquiry on the legislative execution questions to the public authorities;
systematization of the legislative acts regulating the company business activity.
